The systems are cloud based, the debtors and WIP are small and the charge rates are at good market levels.   The premises are excellent with good exposure, room for expansion and substantial parking facilities.

There is a good structure of staff but there is no one within the ranks ready to step up to partnership level.   The partners are wanting to retire from Public Practice  after 30+ yrs but a younger partner will continue working full-time with the purchaser.   

The client relationships with the larger clients are held by the partners so the purchasing firm will need to have people who can take these relationships.
